1. Acceptance of Terms

By accessing, registering for, or using the Arogyam.ai platform ("Platform", "Service") in any capacity, you ("User", "Subscriber", "you") confirm that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms") and any policies incorporated herein by reference, including our Privacy Policy.

If you do not agree to these Terms, you must immediately cease all access and use of the Platform. Continued use after any amendment constitutes acceptance of the revised Terms.

2. About Arogyam.ai

Arogyam.ai is a cloud-based healthcare practice management platform developed and operated by SV Global Pvt Ltd, a company incorporated under the laws of India. The Platform provides tools for clinical workflow management, patient records administration, appointment scheduling, invoicing, and related administrative functions to licensed healthcare providers and their organisations.

Arogyam.ai is a business-to-business (B2B) software service. It is not a consumer health application and is not intended for direct use by patients as their primary health management tool.

3. User Eligibility

To register for and use the Platform you must:

  • Be at least 18 years of age;
  • Be a licensed healthcare professional, or an authorised representative of a registered healthcare organisation;
  • Have the legal authority to enter into binding agreements on behalf of the organisation you represent; and
  • Comply with all applicable laws and professional regulations governing your healthcare practice in your jurisdiction.

By creating an account you represent and warrant that you satisfy all of the above eligibility requirements. SV Global Pvt Ltd reserves the right to suspend or terminate any account where eligibility requirements are not met.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Provide accurate, current, and complete registration information;
  • Update your information promptly if it changes;
  • Use a strong, unique password and not share your credentials with any third party;
  • Notify us immediately at support@arogyam.ai if you suspect unauthorised access to your account.

You are solely responsible for all activity that occurs under your account. SV Global Pvt Ltd shall not be liable for any loss or damage arising from your failure to comply with this section.

5. Authorised Use & Prohibited Conduct

The Platform is licensed to you solely for lawful healthcare practice management purposes. You agree not to:

  • Use the Platform in violation of any applicable law, regulation, or professional code of conduct;
  • Share, sublicense, resell, or transfer your account or access rights to any third party;
  • Attempt to reverse-engineer, decompile, or derive the source code of the Platform;
  • Upload or transmit malicious code, viruses, or any content intended to disrupt the Platform;
  • Use automated scripts, bots, or crawlers to access the Platform without prior written consent;
  • Misrepresent your identity, credentials, or organisational affiliation;
  • Use the Platform in any manner that could harm patients, third parties, or the reputation of SV Global Pvt Ltd; or
  • Use the Platform or any of its communication features (including WhatsApp messaging) to send spam, unsolicited messages, or content that is deceptive, misleading, offensive, or discriminatory.

Non-Discrimination Policy

You must not use the Platform or its communication features to wrongfully discriminate against, or suggest a preference for or against, any individual based on personal characteristics including, but not limited to, race, ethnicity, colour, national origin, citizenship, religion, age, sex, sexual orientation, gender identity, family status, marital status, disability, or medical or genetic condition. You must comply with all applicable laws prohibiting discrimination.

We reserve the right to suspend or permanently terminate your access without notice if prohibited conduct is detected.

6. Patient Data & Confidentiality

The Platform enables you to store and process information relating to your patients ("Patient Data"), which may include sensitive personal and medical information. You acknowledge and agree that:

  • You are the data controller (or equivalent under applicable law) for all Patient Data entered into the Platform;
  • You are solely responsible for obtaining all necessary consents from patients for the collection, storage, and processing of their data;
  • You must comply with all applicable data protection, healthcare privacy, and medical records laws in your jurisdiction (including, without limitation, the Digital Personal Data Protection Act 2023 in India and any other applicable legislation);
  • You shall not enter Patient Data into the Platform that exceeds what is clinically necessary;
  • You are responsible for ensuring Patient Data is accurate, up to date, and handled with appropriate clinical and legal care; and
  • You must not share or request full-length payment card numbers, financial account numbers, government-issued identity numbers (such as Aadhaar, PAN, or passport numbers), or other sensitive identifiers through any messaging or communication feature of the Platform, including WhatsApp.

SV Global Pvt Ltd acts as a data processor in respect of Patient Data and will process such data only in accordance with your documented instructions and our Privacy Policy.

Information from any patient or customer interaction conducted through the Platform's messaging features shall not be forwarded, disclosed, or otherwise shared with any other patient or third party without proper authorisation and lawful basis.

6A. WhatsApp & Messaging Communications

Messaging Consent & Opt-In

The Platform may enable you to communicate with your patients via WhatsApp or other third-party messaging services for purposes such as appointment reminders, follow-up notifications, and administrative communications. By activating any messaging feature, you acknowledge and agree to the following:

  • Patient Opt-In: You must obtain explicit, informed opt-in consent from each patient before sending them any WhatsApp or other messaging communication through the Platform. You are solely responsible for determining the method of opt-in and ensuring it complies with all applicable laws, including the Digital Personal Data Protection Act 2023 (India).
  • Category-Specific Consent: Where possible, you should obtain separate opt-in consent for different categories of messages (e.g., appointment reminders, promotional communications, health tips) so that patients can choose which types of messages they wish to receive.
  • Opt-Out: You must respect all patient requests — whether made on or off WhatsApp — to stop receiving messages. Upon receiving an opt-out request, you must promptly cease sending messages of the relevant category and remove the patient from the corresponding messaging list. Every message sent should include clear instructions for opting out.
  • No Spam or Deception: You must not use the Platform's messaging features to send unsolicited, deceptive, misleading, or fraudulent messages. Messages must accurately identify you and your healthcare practice.

Restrictions on Health Data via Messaging

You must not use WhatsApp or any third-party messaging feature of the Platform for telemedicine consultations or to send or request health-related information if applicable regulations prohibit distribution of such information through systems that do not meet heightened security requirements for health data.

Messages sent via WhatsApp should be limited to administrative and operational communications (e.g., appointment confirmations, scheduling changes, general follow-up reminders). You must not transmit detailed clinical information, diagnostic results, lab reports, prescriptions, or other protected health information through these messaging channels unless you have independently confirmed that doing so complies with all applicable healthcare data regulations.

Human Escalation

Where the Platform uses automated or AI-assisted responses in WhatsApp or other messaging channels, a clear and accessible escalation path to a human representative must be available. This may include transfer to an in-chat human agent, a phone number, an email address, a web-based support form, or an option for an in-person visit. You are responsible for ensuring that such escalation paths are operational and accessible to your patients.

Compliance with WhatsApp Business Policies

Your use of WhatsApp messaging features through the Platform is subject to the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service, and the WhatsApp Messaging Guidelines. You agree to comply with all such policies at all times. SV Global Pvt Ltd is not responsible for any action taken by WhatsApp or Meta Platforms, Inc. against your account as a result of your non-compliance with their policies.

6B. AI-Powered Features & Disclosure

The Platform may incorporate artificial intelligence and machine learning capabilities, including but not limited to AI-assisted medical report analysis, automated appointment reminders, and intelligent workflow suggestions (collectively, "AI Features"). These AI Features may utilise third-party AI services, including Google Gemini, to process data.

You acknowledge and agree that:

  • AI-generated outputs are provided for informational and assistive purposes only and must not be treated as a substitute for independent professional clinical judgment;
  • You are solely responsible for reviewing, validating, and taking clinical responsibility for any AI-generated content before acting upon it or sharing it with patients;
  • Data processed by AI Features may be transmitted to third-party AI service providers. SV Global Pvt Ltd ensures appropriate data processing agreements are in place with such providers, but you should review our Privacy Policy for details on data handling; and
  • When any AI-generated content is communicated to patients — including via WhatsApp or other messaging channels — it must be clearly identified as AI-assisted and accompanied by a notice that it does not replace professional medical advice.

SV Global Pvt Ltd does not warrant the accuracy, completeness, or reliability of any AI-generated output. Please refer to Section 8 (Medical Disclaimer) for further limitations.

7. Data Security & Privacy

SV Global Pvt Ltd employs industry-standard technical and organisational security measures to protect data stored on the Platform, including encryption in transit and at rest, access controls, and regular security assessments. However, no method of transmission over the Internet is completely secure.

In the event of a data breach affecting your Patient Data we will notify you as required by applicable law. You agree to cooperate with us in any breach response process.

Our full Privacy Policy, which forms part of these Terms, sets out how we collect, use, store, and process personal data.

The Platform and website may use cookies, analytics tools (such as Firebase Analytics), and similar tracking technologies to improve user experience and gather usage data. Details about the types of cookies used, their purposes, and your options for managing them are set out in our Privacy Policy.

8. Medical Disclaimer

Important — Please Read Carefully

Arogyam.ai is an administrative and workflow management platform. It does not constitute the practice of medicine, nursing, or any other regulated healthcare profession. The Platform does not provide medical advice, diagnosis, or treatment recommendations.

All clinical decisions, diagnoses, treatment plans, prescriptions, and referrals are solely the professional responsibility of the licensed healthcare practitioner using the Platform. No information presented within the Platform — including any data, reports, or AI-assisted summaries — should be relied upon as a substitute for independent professional clinical judgment.

SV Global Pvt Ltd expressly disclaims all liability for any clinical outcome, patient harm, or adverse event arising from or related to the use of the Platform.

9. Billing & Payments

Access to the Platform may be subject to subscription fees as set out in the applicable order form or pricing schedule. You agree to:

  • Pay all fees in accordance with the agreed payment terms;
  • Provide accurate and current billing information;
  • Authorise us to charge your nominated payment method for recurring subscription fees.

All fees are exclusive of applicable taxes unless stated otherwise. SV Global Pvt Ltd reserves the right to modify pricing with reasonable prior notice. Failure to pay may result in suspension or termination of your access. Fees paid are non-refundable except as expressly stated in your subscription agreement or as required by law.

10. Intellectual Property

All intellectual property rights in the Platform, including its software, design, branding, databases, and documentation, are and remain the exclusive property of SV Global Pvt Ltd or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your authorised healthcare practice management purposes.

You retain ownership of all Patient Data and other content you upload to the Platform. By uploading content, you grant SV Global Pvt Ltd a limited licence to process such content solely to provide the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, SV Global Pvt Ltd and its directors, employees, agents, and affiliates shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of data, revenue, profits, goodwill, or business opportunity;
  • Clinical outcomes or patient harm arising from use of the Platform;
  • Service interruptions, downtime, or data loss resulting from events beyond our reasonable control.

Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Platform shall not exceed the fees paid by you to SV Global Pvt Ltd in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SV Global Pvt Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform in violation of these Terms; (b) your breach of any applicable law or professional regulation; (c) any claim by a patient or third party relating to your clinical decisions or Patient Data management; (d) your infringement of any third-party intellectual property right; or (e) your misuse of WhatsApp or other messaging features, including failure to obtain proper patient consent or violation of WhatsApp's policies.

13. Termination

Either party may terminate your subscription with written notice in accordance with the subscription agreement. SV Global Pvt Ltd may suspend or immediately terminate your account without notice if you breach these Terms or engage in conduct that poses a risk to other users, patients, or the Platform.

Upon termination, your right to access the Platform ceases immediately. We will retain and make available your data for a period as specified in our data retention policy or as required by law, after which it may be permanently deleted. Clauses that by their nature should survive termination (including Sections 8, 10, 11, 12, 14) shall survive.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Visakhapatnam, A.P, India. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Amendments to These Terms

SV Global Pvt Ltd reserves the right to amend these Terms at any time. Where changes are material, we will notify registered users via email or an in-platform notice at least 14 days before the changes take effect. Continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. The current version of these Terms is always available at this page.

17. Third-Party Services & Integrations

The Platform integrates with and relies upon third-party services to deliver its functionality. These include, but are not limited to:

  • Firebase (Google Cloud) — authentication, database, hosting, and analytics;
  • Google Gemini AI — AI-assisted medical report analysis and intelligent features;
  • WhatsApp Business API (Meta Platforms, Inc.) — patient messaging and appointment communications;
  • Leaflet / OpenStreetMap — hospital and clinic location services.

Your use of the Platform may result in data being transmitted to and processed by these third-party services. Each third-party service is governed by its own terms and privacy policies. SV Global Pvt Ltd is not responsible for the practices of these third-party providers. We encourage you to review their respective policies.

SV Global Pvt Ltd maintains appropriate data processing agreements with its third-party service providers, but makes no representations or warranties regarding the conduct of such third parties beyond what is set out in our Privacy Policy.
